The resident agent for a corporation, limited liability company, limited
partnership, or limited liability partnership (foreign only) is someone who is
appointed by the company to receive any documents, notices, or demands served
upon the company.
The registered office address is the physical location where the agent can
be found. The registered office mailing address, if different than the
registered office address, would be the mailing address for the resident agent,
such as a post office box.

Corporations (Michigan
corporations and out of state corporations with a certificate of authority)
All corporations are required to continuously maintain a registered office
and resident agent in Michigan.
Annual report forms, notices, and other official communications are directed to
the corporation's resident agent and registered office. Resident agent and/or registered
office changes can be made on a Certificate of Change of Resident Agent and/or
Registered Office, BCS/CD-520
or on an annual report. A document must be filed in order to change the
resident agent or registered office. The fee for a Certificate of Change is
$5.00. No additional fee is required for a change made on an annual report.

Limited Liability Companies
All limited liability companies are required to continuously maintain a
registered office and resident agent in Michigan.

to the limited liability company's resident agent and registered office.

Change of Resident Agent and/or Registered Office, BCS/CD-520,
or on an annual statement. A document must be filed in order to change the
resident agent or registered office, permitted by section 209
of the Act, MCL 450.4209. The fee for a Certificate of Change of Registered
Office and/or Resident Agent is $5.00. No additional fee is required for a change
made on an annual statement.

Limited Partnerships
All limited partnerships are required to continuously maintain an agent for
service of process in Michigan.
Notices and other official communications are directed to the limited
partnership's agent for service of process. Agent for service of process
changes can be made on a Certificate of Amendment, BCS/CD-403,
for Michigan
limited partnerships or a Certificate of Change, BCS/CD-412,
for foreign limited partnerships. A document must be filed in order to change
the agent for service of process or the agent's address.

The registration of a foreign limited liability partnership must include the
address of its registered office and the name and address of its registered
office and the name and address of its registered agent for service of process.
Michigan
limited liability partnership registrations are not required to include agent
