- Call to Order
- Madame Chair, Rachael Eubanks called the meeting to order at 1:23 p.m.

Let the record show that seven (7) Commission members eligible to vote on matters relating to DPSCD were present. A quorum was present.
- Approval of proposed Minutes from the FRC's November 15, 2021, School District Monthly Meeting
- Motion made by Commissioner Vidito and supported by Commissioner Harkins to approve the draft minutes of the Commission's November 15, 2021, School District Meeting. The Commission approved the minutes of the November 15, 2021, meeting as presented.
- Executive Director's Report
- Patrick Dostine, Executive Director, informed the meeting that in reviewing the Community District's monthly report, ending October 31, 2021, the Community District continues to pay its debt obligations, remains in compliance, and there is no reason to consider rescinding the waiver at this time.
- Mr. Dostine also noted that throughout the first waiver-year, DPSCD and the DPS have been diligent in providing the Commission with timely submissions of information and monthly, quarterly, and annual reports as required in Resolution 2020-23 for DPSCD and Resolution 2020-6 for DPS.
- Based upon a review of the DPSCD's and DPS' financial information, submitted reports, additional information presented during the finance and contracts subcommittee meetings, and the district's comprehensive presentation to the FRC on November 15, 2021, there is no indication that any of the circumstances requiring rescission under section 8(3) of the Act of the waiver granted to DPSCD or DPS have occurred. Also, based on the above-mentioned information, there is not a substantial likelihood that any circumstance requiring rescission under section 8(3) of the Act of the waiver granted to DPSCD or DPS will imminently occur. Therefore, I recommend the Commission acknowledge that the waiver continues in effect by adopting Resolutions 2021-2 and 2021-1, respectively.

- DPS/DPSCD Overview of Financial Highlights
- Chief Financial Officer, Jeremy Vidito gave an overview of the financial highlights for the School District of the City of Detroit (DPS) and Detroit Public Schools Community District, noting that DPS continues to maintain a balanced budget and made all operating and capital debt payments on-time. Mr. Vidito also stated that DPS is expected to repay its operating debt by 2026, and DPS and DPSCD completed the audit with zero audit findings. He addressed questions from the Commission.
- Consideration of the School District of the City of Detroit (DPS) requests to approve/extend a waiver per MCL 141.1638 (2) (FRC Resolution 2021-1)
- Motion made by commissioner Vidito and supported by commissioner Peterson-Mayberry to approve the School District of the City of Detroit (DPS) waiver request (FRC/DPS Resolution 2021-1) as presented. Motion moved and supported. The Commission approved DPS Resolution 2021-1 as presented.
- Consideration of Detroit Public Schools Community District requests to approve/extend a waiver per MCL 141.1638 (2) (FRC Resolution 2021-2)
- Motion made by commissioner Peterson-Mayberry and supported by commissioner Vidito to approve the Detroit Public Schools Community District's (DPSCD) waiver request (FRC DPSCD Resolution 2021-2) as presented. Motion moved and supported. The Commission approved DPSCD's Resolution 2021-2 as presented.

- Motion made by Commissioner Rose and supported by Commissioner Peterson-Mayberry to adjourn. The Commission approved the motion to adjourn.
