Frequently Asked Questions

  • Every LLC and PLLC is required to file an annual statement starting the year after formation. However, if the LLC or PLLC is formed/qualified after September 30, it is not required to file an annual statement on February 15 of the year immediately succeeding its formation.  Annual Statements can be submitted online using the MiBusiness Registry Portal at www.michigan.gov/corpfileonline

    To submit an annual statement:

    1. You will need to log in using a MiLogin for Business account. Click the Login button in the top right to create an account or log in.

    2. Search for the entity.
    3. Select Request Access at the bottom of the slide drawer.
    4. Answer two questions to receive access.
    5. Find the entity in the My Records tab.
    6. The slide drawer will provide the icons: File Annual Report/Statement (if an annual filing is available to be filed)
    7. Click the File Annual Report/Statement to begin completing the form.

  • Every corporation is required to file an annual report starting the year after incorporation. Annual Reports can be submitted online using the MiBusiness Registry Portal (MiBRP) at www.michigan.gov/corpfileonline

    To submit an annual report:

    1. You will need to log in using a MiLogin for Business account. Click the Login button in the top right to create an account or log in.

    2. Search for the entity.
    3. Select Request Access at the bottom of the slide drawer.
    4. Answer two questions to receive access.
    5. Find the entity in the My Records tab.
    6. The slide drawer will provide the icon: File Annual Report/Statement (if an annual filing is available to be filed).
    7. Click the File Annual Report/Statement to begin completing the form.

  • Complete Articles of Organization to form a Michigan limited liability company and submit it to the Corporations Division with the applicable filing fee.

    To submit the Articles of Organization online:

    1. Begin at www.michigan.gov/corpfileonline
    2. You will need to log in using a MiLogin for Business account. Click the Login button in the top right to create an account or log in.

    3. Select Forms.
    4. Select form CSCL/CD-700 Articles of Organization - Domestic LLC.
    5. Complete the form and pay the applicable filing fees with a debit or credit card.

  • Restoring Good Standing for LLCs and PLLCs in Michigan

    If your Limited Liability Company (LLC) or Professional Limited Liability Company (PLLC) is not in good standing due to missed annual filings, you can restore it by filing a Certificate of Restoration of Good Standing along with all required past-due statements/reports and fees.

    For LLCs:

    • Restoration Fee: $50
    • Annual Statement Fee: $25 per missing year
    • If filed on or after February 15, include the current year’s statement ($25).
    • All statements must be submitted with the certificate.

    For PLLCs:

    • Restoration Fee: $50
    • Annual Report & Statement Fee: prior years are $125 each and current year is $75 if filed by February 15 or $125 after February 15.
    • Include all reports/statements with the certificate.

    To file the restoration:

    1. Go to www.michigan.gov/corpfileonline.
    2. You will need to log in using a MiLogin for Business account. Click the Login button in the top right to create an account or log in.
    3. Search for the entity.
    4. Select Request Access at the bottom of the slide drawer.
    5. Answer two questions to receive access.
    6. Find the entity in the My Records tab.
    7. The slide drawer will provide the icon: File Subsequent Document.
    8. Select form CSCL/CD-770_771 - Certificate of Restoration of Good Standing
    9. Complete the form and pay the fees with a debit or credit card.

    Tip: LLCs formed or qualified after September 30 do not owe a statement for the following February 15.

  • To renew your corporation in Michigan:

    1. Go to www.michigan.gov/corpfileonline.
    2. You will need to log in using a MiLogin for Business account. Click the Login button in the top right to create an account or log in.
    3. Search for the entity.
    4. Select Request Access at the bottom of the slide drawer.
    5. Answer two questions to receive access.
    6. Find the entity in the My Records tab.
    7. The slide drawer will provide the icon: File Annual Report/Statement.
    8. Click the File Annual Report/Statement to begin completing the form.
    9. Complete the form and pay the fees with a debit or credit card.

    Additional notes:

    If renewal is after May 15 (profit) or October 1 (nonprofit), the current year report is also required.

    Once all reports are filed and fees are paid, the corporate existence or certificate of authority will be renewed.

  • To order a Certificate of Good Standing:

    1. Go to www.michigan.gov/corpfileonline.
    2. You will need to log in using a MiLogin for Business account. Click the Login button in the top right to create an account or log in.
    3. Search for the entity.
    4. Click the name of the entity for a slide drawer to appear.
    5. The slide drawer will provide the icon: Request Certificate.
    6. Click Request Certificate and locate Certificate of Good Standing Request.
    7. Complete the form and pay the fee with a debit or credit card.

    The Certificate of Good Standing will be sent to the email address affiliated with your MiLogin for Business account.

  • To check the status of a submission:

    1. Go to www.michigan.gov/corpfileonline.
    2. You will need to log in using a MiLogin for Business account. Click the Login button in the top right to create an account or log in.
    3. Click My Work Queue.
    4. Click the heading applicable to the item submitted, either Business, Orders, or Trademark.
    5. All items submitted will be listed and the status of the submission is displayed.

  • A resident agent is a person designated to accept mail, documents, or service of process on behalf of an entity. 

    The Corporations Division records the name of the resident agent on the public record.

  • The registered office address is the physical location of the resident agent. A registered office that may, but need not be, the same as the entity’s place of business.

  • A professional limited liability company (PLLC) is a company made up of licensed persons who have been legally authorized to provide a professional service. Professional limited liability companies must consist of at least one member who is licensed in each professional service being offered. If there is more than one member, they must all be licensed to provide the services of the company. Those professions which must form as a professional service limited liability company are dentists, osteopathic physicians, physicians, surgeons, doctors of divinity or other clergy, and attorneys at law.

  • For limited liability companies, a voluntary dissolution can occur in any of the following three ways:

    1. Upon the happening of an event specified in the Articles of Organization or Operating    Agreement, including a vote of members.
    2. Upon the unanimous vote of all members entitled to vote.
    3. By action of the organizers. 

    If you intend to dissolve a limited liability company, you must:

    • File a Certificate of Dissolution with the Corporations Division and pay the required fee.
    • Request a tax clearance from the Michigan Department of Treasury within 60 days of filing.
    • Dissolving a limited liability company can be complex. Please consult with an attorney or qualified professional.

    Note: If an LLC is not in good standing, which would be indicated by the AR Standing status of Not Good, then it must restore to good standing before it can file a Certificate of Dissolution.

    To file the Certificate of Dissolution online:

    1. Go to www.michigan.gov/corpfileonline.
    2. Log in using your MiLogin for Business account. Click Login in the top right to create an account or log in.
    3. Search for the entity.
    4. Click Request Access at the bottom of the slide drawer.
    5. Answer two questions to receive access.
    6. Find the entity under the My Records tab.
    7. In the slide drawer, click the File Subsequent Document icon.
    8. Select form CSCL/CD-730_731 – Certificate of Dissolution.
    9. Complete the form and pay the fee using a debit or credit card.

  • There are several ways to dissolve a corporation. The most common voluntary methods include:

    • By action of the incorporators or directors.
    • By action of the board and shareholders.
    • By action of a shareholder.

    Other ways include expiration of the corporation’s term or failure to file annual reports for two years.

    If you intend to dissolve your corporation, you must:

    • File a Certificate of Dissolution with the Corporations Division and pay the required fee.
    • Request a tax clearance from the Michigan Department of Treasury within 60 days of filing.
    • All nonprofit corporations, except churches, must obtain a consent to dissolution, or a written statement that the consent is not required, from the Michigan Attorney General, Consumer Protection and Charitable Trusts Division. Application for the consent should be made at least 45 days before the desired effective date of the dissolution. The Certificate of Dissolution cannot be filed unless it is accompanied by the consent or written statement.

    Dissolving a corporation can be complex. Please consult with an attorney or qualified professional.

    To file the Certificate of Dissolution online:

    1. Go to www.michigan.gov/corpfileonline.
    2. Log in using your MiLogin for Business account. Click Login in the top right to create an account or log in.
    3. Search for the entity.
    4. Click Request Access at the bottom of the slide drawer.
    5. Answer two questions to receive access.
    6. Find the entity under the My Records tab.
    7. In the slide drawer, click the File Subsequent Document icon.
    8. Select form CSCL/CD-530_531 – Certificate of Dissolution.
    9. Complete the form and pay the fee using a debit or credit card.

  • The Corporations Division records a business entity's registered office address. To change the address of the registered office or the resident agent, a Certificate of Change of Registered Office and/or Change of Resident Agent must be filed.

    To file the Certificate of Change of Registered Office and/or Change of Resident Agent online:

    1. Go to www.michigan.gov/corpfileonline.
    2. Log in using your MiLogin for Business account. Click Login in the top right to create an account or log in.
    3. Search for the entity.
    4. Click Request Access at the bottom of the slide drawer.
    5. Answer two questions to receive access.
    6. Find the entity under the My Records tab.
    7. In the slide drawer, click the File Subsequent Document icon.
    8. Select form CSCL/CD-520 – Certificate of Change of Registered Office and/or Change of Resident Agent.
    9. Complete the form and pay the fee using a debit or credit card.

  • The LARA Corporations Division does not license businesses. Instead, its role is to receive, review, and file the legal documents required to form and maintain business entities under state law. This process establishes the legal existence of a business, but it does not authorize the business to provide specific services. Licensing—such as professional, occupational, or other regulatory approval—is handled by separate agencies or departments depending on the type of business and its activities.

  • Documents may be submitted for filing in person by appointment.

    The Corporations Division is located at 2407 N. Grand River Ave., Lansing, MI 48906.

    Office hours for payments are Monday through Friday, 8:00am to 3:45pm.

    Fees may be paid by  check, money order or credit card (VISA, MasterCard, American Express, or Discover).
