The Michigan Department of Licensing and Regulatory Affairs (LARA) will never ask you to provide credit card numbers or other personal information by phone, text, email, or mail. LARA has identified fraudulent communications impersonating department staff. These scams may include requests for payment or personal information. Mergers
If a Limited Liability Company desires to merge with another limited liability company, a Certificate of Merger (CSCL/CD-750) is required to be filed with the Bureau. If the limited liability company desires to merge with another entity (such as a corporation, limited partnership, etc.) form CSCL/CD-550m should be filed instead.
If a foreign limited liability company with a Certificate of Authority merges with another limited liability company and is the survivor of the merger, the company is required to file a certificate issued by the jurisdiction where it filed its Articles of Organization, attesting to the occurrence of the merger. When the foreign limited liability company is the survivor of the merger, and changes in the information contained in its Application for Certificate of Authority occur because of the merger, an amended application should be filed with the Bureau.
