Waiver of fees for veterans

Veterans (as defined in MCL 35.61) may qualify for a waiver of fees for profit corporations, limited liability companies, and nonprofit corporations as described below:

Profit Corporations pursuant to MCL 450.2060(10)

Eligible Documents:  Fees may be waived for all documents except the initial Articles of Incorporation.  Documents include annual reports, but on annual reports the waiver is only for the $25.00 filing fee and is not applicable to late filing penalty fees.

Criteria: If a majority of the shares of the domestic or foreign corporation responsible for paying the fee are, and the corporation provides proof satisfactory to the administrator that those shares are, held by 1 or more honorably discharged veterans of the Armed Forces of the United States.

Submit the following with each document on which a fee waiver is requested:

Limited Liability Companies pursuant to MCL 450.5101

Eligible Documents: 

Fees may be waived for all documents. Documents include annual statements (LLCs) and annual reports and annual statements (PLLCs), but on PLLC annual reports and statements the waiver is only for the $75.00 filing fee and is not applicable to the $50.00 late filing penalty fee.

Criteria:

All documents except Articles of Organization:  If a majority of the membership interests in the domestic or foreign limited liability company responsible for paying the fee are, and the domestic or foreign limited liability company provides proof satisfactory to the administrator that those interests are, held by veterans.

Articles of Organization:  If a majority of the initial membership interests in the domestic limited liability company will be held by veterans.

Submit the following with each document on which a fee waiver is requested:

Nonprofit Corporations pursuant to MCL 450.3060(6)

Eligible Documents:  Fees may be waived only for the initial Articles of Incorporation.

Criteria: If a majority of the initial members of a membership corporation, initial directors of a directorship corporation, or initial shareholders of a stock corporation, as applicable, are, or if applicable the initial members, initial directors, or initial shareholders will be, individuals who served in the armed forces and were separated from that service with an honorable character of service or under honorable conditions (general) character of service.

Submit the following with each document on which a fee waiver is requested:

  • CSCL/CD-214 NF-Veteran Fee Waiver Request – Nonprofit Corporation (Formation) – Articles of Incorporation: A signed affidavit requesting the fee waiver and certifying that a majority of the initial members of the membership corporation, initial directors of the directorship corporation, or initial shareholders of the stock corporation, as applicable, are, or if applicable the initial members, initial directors, or initial shareholders will be, individuals who served in the armed forces and were separated from that service with an honorable character of service or under honorable conditions (general) character of service. 
  • Evidence of veteran status

Evidence of Veteran Status

Veterans must provide acceptable documentation as evidence of veteran status. Any submitted form must indicate the character of discharge. Acceptable forms include:

  • DD214 (or correction DD215), Certificate of Release or Discharge from Active Duty, any copy except Copy 1
  • Form NGB FM 22 or 23, Report of Separation and Record of Service, which must indicate honorable or general discharge
  • Forms WD AGO, such as WD AGO 53-55, Enlisted Record and Report of Separation Honorable Discharge
  • GSA 6954, Certificate of Military Service
  • NAVPERS 553, Extract of Notice of Separation from U.S. Naval Service
  • VA Veteran Health Identification Card
  • DD-2 (blue or pink version), United States Uniformed Services ID card - issued to retired military and military reserve veterans.
  • NA Form 13038
  • Michigan driver’s license or ID card with Veteran designation in red on the front of the card.

Photocopies of official documents are acceptable. Veteran documentation will not be retained by the Corporations Division and will be destroyed if provided by mail.

Documentation needs to be presented for each request for a fee waiver.
